Legal terms and conditions for using MicroANPR services

Important Legal Agreement

By accessing or using MicroANPR services, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our services.

1. Agreement Overview

1.1 Parties

This agreement ("Agreement") is between MicroANPR Technologies, Inc. ("MicroANPR", "we", "us", or "our"), a company incorporated in the United Kingdom, and you ("Customer", "you", or "your").

1.2 Services

MicroANPR provides cloud-based Automatic Number Plate Recognition (ANPR) software-as-a-service solutions, including but not limited to:

  • ANPR processing APIs and services
  • Vehicle recognition and license plate extraction
  • Dashboard and reporting tools
  • Alert and notification systems
  • Integration tools and documentation

2. Service Terms

2.1 Service Availability

We aim to provide 99.9% uptime for our services, measured monthly excluding scheduled maintenance. We reserve the right to perform maintenance during off-peak hours with advance notice where possible.

2.2 Service Limitations

  • Processing limits: Subject to your subscription plan limits
  • Rate limits: API requests are subject to rate limiting
  • Storage limits: Data retention limits as per your plan
  • Geographic restrictions: Services available in supported regions only

2.3 Service Modifications

We may modify, suspend, or discontinue services with 30 days' notice for non-material changes and 90 days' notice for material changes that affect core functionality.

3. Account Registration and Security

3.1 Account Creation

You must provide accurate, current, and complete information during registration. You are responsible for maintaining the accuracy of your account information.

3.2 Account Security

  • You are responsible for maintaining the confidentiality of your login credentials
  • You must implement appropriate security measures, including strong passwords
  • You must notify us immediately of any unauthorized access to your account
  • You are liable for all activities that occur under your account

3.3 Account Suspension

We may suspend or terminate accounts that violate these terms, pose security risks, or engage in fraudulent activity.

4. Acceptable Use Policy

4.1 Permitted Uses

You may use our services for legitimate business purposes including:

  • Traffic management and monitoring
  • Security and access control
  • Parking management
  • Law enforcement (with proper authorization)
  • Research and development (with appropriate permissions)

4.2 Prohibited Uses

You may not use our services to:

  • Violate any laws or regulations
  • Infringe on privacy rights or conduct unauthorized surveillance
  • Process data without proper legal basis or consent
  • Reverse engineer, decompile, or attempt to extract source code
  • Circumvent security measures or access controls
  • Transmit malware, viruses, or malicious code
  • Interfere with service operation or other users
  • Use services for competitive intelligence or benchmarking without permission

4.3 Content Restrictions

You must not upload or process:

  • Illegal, harmful, or offensive content
  • Content that violates third-party rights
  • Personal data without proper legal basis
  • Content from unauthorized sources

5. Data and Privacy

5.1 Your Data

You retain ownership of all data you submit to our services ("Customer Data"). We process Customer Data solely to provide services as described in our Privacy Policy.

5.2 Data Processing Agreement

For customers processing personal data, our Data Processing Agreement (DPA) governs the processing relationship and ensures GDPR compliance.

5.3 Data Security

We implement appropriate technical and organizational measures to protect your data. However, you are responsible for ensuring your use of our services complies with applicable data protection laws.

5.4 Data Retention and Deletion

We retain Customer Data according to your account settings and subscription terms. Upon account termination, we will delete or return Customer Data as requested, subject to legal retention requirements.

6. Payment Terms

6.1 Subscription Fees

Fees are based on your selected plan and usage. All fees are exclusive of taxes, which you are responsible for paying.

6.2 Payment Processing

  • Payments are processed by third-party payment providers
  • You authorize automatic charging for recurring subscriptions
  • Failed payments may result in service suspension
  • Disputes must be raised within 60 days of billing

6.3 Refunds

Refunds are generally not provided for services already consumed. We may provide refunds at our discretion for service outages or technical issues.

6.4 Fee Changes

We may change fees with 30 days' advance notice. Existing subscriptions will continue at current rates until renewal.

7. Intellectual Property

7.1 Our IP Rights

MicroANPR retains all rights, title, and interest in our services, software, algorithms, and technology. This includes patents, copyrights, trade secrets, and trademarks.

7.2 License Grant

We grant you a limited, non-exclusive, non-transferable license to use our services during your subscription term, subject to these terms.

7.3 Customer IP Rights

You retain ownership of your Customer Data and any intellectual property you create using our services.

7.4 Feedback

Any feedback, suggestions, or ideas you provide may be used by MicroANPR without compensation or attribution.

8. Warranties and Disclaimers

8.1 Service Warranties

We warrant that our services will perform substantially as described in our documentation. This warranty is subject to your proper use of the services.

8.2 Disclaimers

EXCEPT AS EXPRESSLY STATED, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8.3 ANPR Accuracy

While we strive for high accuracy in ANPR recognition, we do not guarantee 100% accuracy. Recognition rates depend on image quality, lighting, and other factors.

9. Limitation of Liability

9.1 Liability Cap

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU FOR THE SERVICES DURING THE 12 MONTHS PRECEDING THE CLAIM.

9.2 Excluded Damages

WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION.

9.3 Exceptions

Nothing in these terms limits our liability for fraud, gross negligence, death or personal injury, or violations of applicable law.

10. Indemnification

10.1 Customer Indemnification

You will indemnify and hold harmless MicroANPR from claims arising from:

  • Your violation of these terms or applicable law
  • Your Customer Data or its processing
  • Your unauthorized use of the services
  • Claims that Customer Data infringes third-party rights

10.2 MicroANPR Indemnification

We will defend you against claims that our services infringe third-party intellectual property rights, subject to your compliance with these terms.

11. Term and Termination

11.1 Term

These terms remain in effect while you use our services. Subscription terms are as specified in your account or order confirmation.

11.2 Termination by You

You may terminate your account at any time through your dashboard or by contacting support. Termination is effective at the end of your current billing period.

11.3 Termination by Us

We may terminate accounts for violations of these terms, non-payment, or discontinuation of services with appropriate notice.

11.4 Effect of Termination

Upon termination, your access to services will cease, and we will delete Customer Data according to our retention policies, unless legally required to retain it.

12. General Provisions

12.1 Governing Law

These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

12.2 Entire Agreement

These terms, together with our Privacy Policy and any order confirmations, constitute the entire agreement between the parties.

12.3 Amendments

We may update these terms by providing notice through our services or email. Continued use constitutes acceptance of updated terms.

12.4 Severability

If any provision is found invalid or unenforceable, the remaining provisions will remain in full force and effect.

12.5 Force Majeure

Neither party will be liable for delays or failures due to causes beyond their reasonable control, including natural disasters, government actions, or network outages.
